§1.3 — Phase Initial Priority Streams (No Contract Barrier)

Residential MSW and Commercial MSW are the Phase Initial priority streams. Combined daily volume of ~11,515 TPD (79% of system generation) flows through WIN Waste Innovations and WM-operated transfer stations with no current long-term contract that would preclude SWA-directed diversion. The SWA's reconstitution under the 2023 ILA and the Master Plan mandate give the Authority explicit governance authority to redirect feedstock to contracted processing alternatives including ACM. No capability barrier exists for either stream.

§1.4 — Full Feedstock Capability Statement

Advanced Circular Manufacturing processes all classes of municipal and commercial solid waste, including: residual MSW (post-sort and unsorted), commercial solid waste, construction and demolition debris, bulk waste and white goods, single-stream recyclable residuals, organic fractions, and WWTP biosolids. No stream generated by the Broward County system exceeds ACM's processing capability. Classification as CONDITIONAL or ACCESSIBLE reflects contractual or logistical access constraints — not any limitation of the technology itself.

§2 — Logistics and Infrastructure

Logistics and Infrastructure

Current waste flow routes, transfer infrastructure, and key convergence points relevant to ACM feedstock delivery planning.

Broward County's waste management infrastructure is organized around three primary transfer hubs and one WTE facility. Residential MSW is collected by 31 municipalities under separate contracts and routed either directly to the South Broward Resource Recovery Facility (RRF) in Fort Lauderdale, or to one of three major private transfer stations: WM Davie (SW 50th Avenue), WM Deerfield Beach, and Waste Connections of Florida's Pembroke Park facility. These transfer stations aggregate commercial and residential loads before routing to the RRF or out-of-county landfills.

The RRF is located at 4400 South State Road 7, Fort Lauderdale — a site on SR-7/US-441, with direct access to I-595 and Florida's Turnpike. An ACM facility sited within a 15-mile radius of this node would access the existing transfer network without requiring new collection infrastructure. The SCS Engineers Master Plan identified candidate county-owned and municipal-owned industrial parcels that meet proximity criteria (see §6 Infrastructure Map and Proposal §2.4 Site Candidate Analysis).

C&D waste and bulk waste is managed through a separate network of RMPFs operated by WM, Waste Connections of Florida, All County Waste Recycling, and several smaller operators in Davie, Deerfield Beach, and Pompano Beach. These streams require conditional access negotiation at the Term Sheet phase; no regulatory barrier prevents ACM intake of C&D fractions.

Executive Implications — Logistics
  • Existing transfer station network at WM Davie, WM Deerfield, and Waste Connections Pembroke Park provides ready feedstock aggregation points — ACM does not require a new collection system, only a contracted diversion instruction from the SWA.
  • SR-7 corridor and I-595 access make the Fort Lauderdale / Davie zone the highest-efficiency ACM siting corridor. The SCS-screened North Alpha 250 site is within this corridor and within the addressable transfer radius.
  • WIN Waste RRF pending sale creates logistics risk: if the new owner declines SWA feedstock at current terms, ACM becomes the only contracted large-volume alternative on the table before the August 2026 Master Plan vote.

§3.3 — Cost Trajectory

Rate escalation mechanism. Disposal fees for both WTE and landfill operations escalate on contractual or CPI-linked bases. The SCS Scenario A landfill planning fee of $91/ton is expressed in 2025 dollars; a new 30-year landfill contract would carry annual escalation provisions that compound significantly over the CSA horizon. Historical Florida landfill rate escalation has tracked 2.5–4.5% annually.

Capital reinvestment pressure. The Master Plan's Scenario A new landfill carries an $880M capital cost estimate plus $229M/year operating cost. This infrastructure debt — if the SWA proceeds without ACM — will be distributed across member municipalities via tipping fee increases and ILA assessments. The per-ton cost impact of a $880M sunk infrastructure investment over 30 years at the system's current ~5.32M TPY is approximately $5.50–$6.00/ton/year in additional capital recovery charges on top of $91/ton gate rate.

Absence of competitive alternatives. The fragmentation of the Broward system following the 2013 ILA collapse eliminated volume-based negotiating leverage. Individual municipal contracts with WM, WIN Waste, and Waste Connections were negotiated at city level, not Authority level, forfeiting scale advantages. The SWA's reconstitution in 2023 restores that leverage — but only if the Authority acts on it before the August 2026 Master Plan vote locks in the status-quo infrastructure pathway.

Executive Implications — Cost Structure
  • At $91/ton FWDC and 1,000 TPD Phase Full addressable volume, the SWA's annual disposal cost attributable to the ACM-addressable feedstock stream is ~$33.2M/year. This is the gross cost displacement benchmark for the EIR.
  • The $880M new landfill CapEx is a deferred but unavoidable commitment under status-quo planning — ACM eliminates the need for that infrastructure outlay for the addressable feedstock volume, representing a non-recurring capital avoidance that dwarfs the pre-royalty period Beneficiation Fee obligation.
  • The WTE tipping fee gap (unconfirmed) is a material WARN: if the current rate is materially higher than $91/ton, the FWDC basis used in this study understates the cost displacement ACM delivers. Verification at Term Sheet will only improve the comparative position.

Hard Deadline — Master Plan Mandate

August 2026 — SWA Governing Board Master Plan adoption vote. The Solid Waste and Recyclable Materials Processing Authority of Broward County, Florida is required by Florida Statutes §§163.01 and 403.706 to adopt a Regional Solid Waste and Recycling Master Plan. The SCS Engineers Draft Master Plan (May 2025) has been submitted for Governing Board consideration; a vote is anticipated in August 2026. Governance Context

The Broward cooperative waste system collapsed in 2013 when the interlocal agreement expired, fragmenting municipal contracts and halting recycling programs for a decade. The 2023 ILA reconstituted the Authority under new statutory authority. The August 2026 Master Plan vote is widely characterized in public record as the last best chance to correct course — with neighboring Palm Beach County's unified approach producing a 90% recycling rate in 2024 as the visible contrast. The governance risk is not technical or regulatory — it is the risk of another decade of fragmented inaction. The LOI/MOU execution target is therefore not merely a commercial milestone; it is the mechanism by which the SWA Board signals alignment with the Authority's reconstitution mandate.

At no phase does the ACM allocation create a system constraint — Broward's generation volume is an order of magnitude larger than the Phase Full addressable ceiling. Appendix D — Authoritative Glossary
ACM — Advanced Circular Manufacturing
The Carbotura technology platform that converts mixed municipal and commercial solid waste into synthetic graphite, graphene compounds, and recovered minerals. Classified under US manufacturing NAICS codes 325180, 327992, and related codes — not solid waste codes.
Beneficiation Fee (TMC Fee)
The per-ton fee paid by the Authority to Carbotura for feedstock processing under the CSA. Equivalent to the disposal tipping fee in the Authority's current system. Escalates annually at the contractual escalator rate. Independent transaction from the Circular Royalty™.
Circular Royalty™
A cash payment made by Carbotura to the Authority commencing 13 months after the corresponding Beneficiation Fee payment. Based on a percentage of the Beneficiation Fee paid in the prior corresponding month. Starts at 120% of the current-year Beneficiation Fee and escalates by one percentage point per year. Independent from the Beneficiation Fee — the two are separate transactions and are never netted.
CSA — Community Operating Agreement
The binding 30-year minimum contract between Carbotura and the Authority that establishes the Beneficiation Fee, Circular Royalty™ terms, deployment schedule, and all operational parameters. T0 = CSA execution date. Continues perpetually unless a Non-Renewal Notice is served with 24 months' notice, earliest at Year 28.
FWDC — Full Waste Disposal Cost
The blended per-ton cost the Authority bears for current waste disposal, including gate rates, transport, franchise fees, and system overhead. Used in the EIR as the cost-displacement benchmark. Applied in this study at $91/ton (SCS Scenario A landfill gate rate, 2025 dollars).
ILA — Interlocal Agreement
The legal instrument executed in 2023 by Broward County and member municipalities establishing the Solid Waste Authority. Mandates adoption of a Regional Solid Waste and Recycling Master Plan. The ILA provides the Authority's legal basis to direct ILA member feedstock to contracted processors.
LOI/MOU
Letter of Intent / Memorandum of Understanding — the first formal commitment instrument in the canonical Carbotura engagement progression (LOI/MOU → Term Sheet → CSA). Records intent, high-level economics, and Registry-locked values. Initiates Term Sheet phase. Q3 2026 execution is the target engagement window for this engagement.
Term Sheet
The second phase of the engagement progression, between LOI/MOU execution and CSA execution. RMPF — Recyclable Materials Processing Facility
A facility that sorts, processes, and markets recyclable materials. Distinct from ACM, which converts mixed waste streams into manufactured materials. Current RMPFs in Broward include WM's Reuter Recycling facility (Pembroke Pines) and Waste Connections' Pembroke Park R&T facility.
